State=END USER LICENSE AGREEMENT\r\n\r\nTHIS SOFTWARE END USER LICENSE AGREEMENT (THE "LICENSE AGREEMENT") IS BETWEEN UNIBLUE SYSTEMS LTD. (THE "LICENSOR") AND THE END USER ("YOU").\r\n\r\nBY BREAKING THE SEAL ON THE CD-ROM PACKAGE, OR BY INSTALLING, EXECUTING OR ACTIVATING REGISTRYBOOSTER, OR BY CLICKING ON THE "I ACCEPT THE AGREEMENT" BUTTON, YOU ARE DEEMED TO AND DO CONSENT TO BE BOUND BY AND BECOME A PARTY TO THIS LICENSE AGREEMENT. IF YOU DO NOT AGREE TO BE BOUND BY ALL OF THE TERMS OF THIS LICENSE AGREEMENT, DO NOT INSTALL, EXECUTE OR ACTIVATE REGISTRYBOOSTER, OR CLICK ON THE "I DO NOT ACCEPT THE AGREEMENT" BUTTON. ALL UNACCEPTED SOFTWARE MUST BE PROMPTLY RETURNED TO THE VENDOR OR DELETED.\r\n\r\nBefore You continue, it is advised that You print off or save a local copy of this License Agreement for record purposes.\r\n\r\n1. Grant of the License.\r\n\r\nSubject to the terms and conditions of this License Agreement, the Licensor grants You a non-exclusive license to use internally one copy of RegistryBooster (unless You purchase additional licenses), and related written materials in either printed or machine readable versions (the "Documentation"), solely for registry repair and defragmentation purposes, on a single computer. You are expressly prohibited from sublicensing, selling, renting, leasing or otherwise distributing RegistryBooster or its Documentation.\r\n\r\n2. Instant Scan (the "Evaluation Copy").\r\n\r\nYou may be granted the right to use RegistryBooster on a trial or evaluation basis (the "Evaluation Copy"). The Evaluation Copy will perform an instant scan of your registry in order to report to you which registry entries are recommended to be fixed. The functionality of the Evaluation Copy is restricted and in order to unlock the full version of RegistryBooster You need to purchase a license and register the software. THE EVALUATION COPY IS PROVIDED TO YOU ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, ANY WARRANTIES OR REPRESENTATIONS OF TITLE OR NON-INFRINGEMENT.\r\n\r\n3. Licensed Software.\r\n\r\nYou agree to use RegistryBooster only for the number of licensed units specified at the time of purchase on the applicable transaction documentation. Any use of more units than are licensed is prohibited. The license for RegistryBooster may not be shared by alternating use of RegistryBooster between different computers. Notwithstanding anything mentioned here above, the primary user of a computer for which a license has been purchased may make and use an additional copy of RegistryBooster on a portable computer. You may also make a copy of the setup file of RegistryBooster for back-up or archival purposes. Otherwise, You may not copy RegistryBooster in whole or in part at any time. If You use RegistryBooster in a network environment or on any other multiple-station computer system where RegistryBooster could be used on multiple computers simultaneously (a "Network"), You agree either to implement access security mechanisms to prevent simultaneous use, or to purchase additional licenses according to the number of users with access to the Network.\r\n\r\n4. Intellectual Property Protection. \r\n\r\nThis License Agreement does not give you any intellectual property rights in RegistryBooster or its Documentation. You agree to treat RegistryBooster as any other copyrighted material and You must not use it in any manner which could jeopardize or violate its copyrights. You may not copy (except as permitted here above), modify, create a derivative work thereof, reverse engineer, decompile or otherwise attempt to extract the source code of RegistryBooster or any part thereof, unless this is expressly permitted or required by law, or unless You have obtained explicit consent in writing from the Licensor that You may do so. You further agree not to remove or in any way obscure any ownership or trademark notices on RegistryBooster or its Documentation.\r\n\r\n5. Restrictions on Use. \r\n\r\nYou may not use RegistryBooster in any way that violates any applicable law including but not limited to the posting of information that may:\r\n\r\n - violate third party rights;\r\n\r\n - defame a third party;\r\n\r\n - be obscene or pornographic;\r\n\r\n - harass or assault others; or\r\n\r\n - violate hacking or other computer crime regulations, etc.\r\n\r\n6. Limited Warranty.\r\n\r\nThe Licensor warrants that RegistryBooster will perform substantially according to its Documentation for a period of thirty (30) days from the date You acquired the software. Your exclusive remedy for any breach of this warranty, and the entire liability of the Licensor and its licensors, whether in tort, contract or otherwise, will be, in the Licensor's sole discretion, to replace RegistryBooster with functionally equivalent software or refund the license fee paid by You upon return of the non-conforming software. Any replacement of RegistryBooster will be warranted for the remainder of the original warranty period of thirty (30) days.\r\n\r\nYOU EXPRESSLY UNDERSTAND AND AGREE THAT REGISTRYBOOSTER IS PROVIDED UNDER THIS LICENSE ON AN "AS IS" BASIS AND YOUR USE OF IT IS AT YOUR SOLE RISK. THE LICENSOR, ITS SUBSIDIARIES AND AFFILIATES DO NOT REPRESENT OR WARRANT THAT:\r\n\r\n(a) REGISTRYBOOSTER WILL MEET YOUR REQUIREMENTS;\r\n\r\n(b) REGISTRYBOOSTER WILL BE ERROR OR DEFECTS FREE; OR THAT\r\n\r\n(c) ANY DEFECTS IN THE OPERATION OR FUNCTIONALITY OF REGISTRYBOOSTER WILL BE CORRECTED.\r\n\r\nEXCEPT FOR THE ABOVE WARRANTY, THE LICENSOR FURTHER EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS.\r\n\r\n7. Limitation of Liability. \r\n\r\nUNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, WHETHER IN TORT, CONTRACT, OR OTHERWISE, WILL THE LICENSOR OR ITS LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY BENEFICIARY FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO ANY LOSS OF DATA ARISING OUT OF THE USE OR THE INABILITY TO USE REGISTRYBOOSTER, EVEN IF THEY KNOW OF THE POSSIBILITY OF SUCH DAMAGES. \r\n\r\nIN NO EVENT WILL THE TOTAL LIABILITY OF THE LICENSOR OR ITS LICENSORS WHETHER IN TORT, CONTRACT OR OTHERWISE, EXCEED THE PURCHASE PRICE WHICH YOU PAID FOR REGISTRYBOOSTER. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so this limitation and exclusion may not apply to You.\r\n\r\n8. Export Restrictions. \r\n\r\nYou may not export or re-export RegistryBooster in violation of the export laws of the United States, the European Community or the applicable laws of any other jurisdiction. Among other things, U.S. laws provide that RegistryBooster may not be exported or re-exported to certain countries which are embargoed or restricted or to certain restricted persons.\r\n\r\n9. Choice of Law.\r\n\r\nThis License Agreement will be governed by the Laws of Malta, Europe, excluding any conflict of rules of law.\r\n\r\n10. General Provisions.\r\n\r\nThis License Agreement shall automatically terminate if You fail to comply with its terms without prejudice to the rights of the Licensor to compensation for damages in terms of law. Upon termination, You must destroy all copies of RegistryBooster and its Documentation in your possession. Any rights not expressly granted under this License Agreement are being reserved. This License Agreement is the entire agreement between You and the Licensor with respect to the subject matter and supersedes any and all prior or contemporaneous oral or written agreements, representations, negotiations, any additional terms of any quote, order or other similar communication between the parties. If any part of this License Agreement is found to be void, unenforceable or invalid, that part will be deemed stricken and will not affect the validity of the other provisions of the License Agreement. Failure by either party to enforce any provision of this License Agreement will not be deemed a waiver of future enforcement of that or any other provision. The disclaimers of warranties and limitations on liability shall survive the termination of this License Agreement.
